GENERAL TERMS AND CONDITIONS OF SALE

These General Terms and Conditions of Sale (GTCS) govern all sales concluded by ML AUTO HERITAGE SAS, operating in particular under the vlvautoparts.com brand, with its customers, whether private individuals or professionals, via its websites, by mail order, or by any other ordering method.

Any order implies full and unconditional acceptance of these GTCS, which prevail over any other document, unless expressly agreed otherwise in writing.


Commitment

The sale is deemed concluded upon receipt of the order by our services.


Products

The “original spare parts” offered comply with the French legislation in force and with the applicable standards in France.

Certain “high-performance and tuning” parts may not be installed on a vehicle intended for road use until the owner has obtained approval for the modifications from the relevant authorities and has informed their insurance company accordingly.
Any modification to a vehicle intended for road use is prohibited in France unless it has been duly approved by the competent authorities. ML AUTO HERITAGE SAS, through its RBM Performance brand and its management, shall not be held liable for any consequences arising from the use of a non-approved vehicle on public or private roads, whether in France or abroad.

All products offered by RBM Performance are, in principle, available. The product offers and prices displayed on rbmperformance.com are valid for the duration of their display on the website, subject to available stock. Information regarding availability is provided directly by our suppliers; errors or exceptional changes are beyond our control and cannot engage our liability.

Although we take particular care in this respect, photographs, texts, graphics, information and characteristics illustrating the products are provided for indicative purposes only and do not form part of the contractual agreement. In the event of errors, omissions, or changes made by suppliers, the liability of RBM Performance and its management cannot be engaged.

The products sold by ML AUTO HERITAGE SAS must be installed by a competent person and under their sole responsibility. ML AUTO HERITAGE SAS shall in no event be held liable for the consequences of incorrect installation or the use of a product unsuitable for a vehicle.


Prices

Our prices correspond to the rates in force on the day of sale.

Prices are expressed in euros, all taxes included, excluding shipping costs, which are charged in addition. Prices displayed on rbmperformance.com are valid for the duration of their display on the website. We reserve the right to modify prices at any time; however, products are invoiced based on the rates in force at the time the order is registered.

Any request to modify a validated and paid order will incur an administrative fee of €5. If the order has already been invoiced and processed, modification is no longer possible.


Payment and Security

We offer the following payment methods:

  1. Online credit/debit card payment: secure transaction via the SOGENACTIF system of Société Générale.

  2. PayPal.

  3. Payment by cheque sent by post:
    a) Print your order
    b) Make the cheque payable in euros (€) to RBM Performance or ML AUTO HERITAGE SAS
    c) Send the cheque, indicating the order number on the back, to the following address:
    RBM Performance, 145 rue des Caboeufs, Bat B, 92230 Gennevilliers, France.

Cheques are cashed as soon as the order is available. Cheques must be issued by a bank domiciled in mainland France.

  1. Bank transfer.

Any request to modify a validated and paid order incurs an administrative fee of €5.

As our business operates exclusively via distance selling, cash payments are not accepted for orders placed on the website.


Retention of Title Clause

The products remain the property of RBM Performance until full payment has been received.


Risks

It is the customer’s responsibility to check the condition of the products upon delivery before taking possession. If any issue is noted, the parcel should be refused or reservations should be made with the carrier at the time of delivery. Any claim made after acceptance and delivery of the parcel will not give rise to compensation, as carrier policies are strict in this regard.

RBM Performance draws the customer’s attention to the fact that the installation of certain “high-performance” parts intended to increase engine power and torque may render the vehicle illegal for use on public roads.

In accordance with French legislation, certain “high-performance and tuning” parts sold by RBM Performance may not be installed on a vehicle intended for road use without prior approval by the relevant authorities and notification to the insurance company.


Delivery

Delivery times are provided for indicative purposes only.

Goods travel at the customer’s risk as soon as they are handed over to the carrier.
The customer must check the condition of the parcel upon receipt and immediately report any reservations to the carrier.


Delivery Claims

Any claim relating to delivery (damaged products, incorrect quantities, vehicle compatibility, etc.) must be submitted in writing by email within 7 days of receipt of the order. After this period, claims cannot be processed.


Customs – Taxes – Importation (International Orders)

For any order shipped outside France, and in particular outside the European Union, the customer is informed that customs duties, local taxes (VAT, GST, sales tax), customs clearance fees or administrative charges may be required.

These charges are exclusively borne by the customer and are never included in the prices displayed.

They are generally collected by the carrier on behalf of local authorities.
ML AUTO HERITAGE SAS cannot be held responsible for the amount, calculation or payment of these charges.

In the event of refusal to pay, the parcel may be returned, stored or destroyed, with no refund of incurred costs.


Returns

No item will be accepted for return, exchange or refund outside the legal period (14 days for private individual consumers within the European Union). Professional customers may not return an order except in the event of an error on our part (shipment of an incorrect item) or a visibly defective item, in which case we will cover the return shipping costs.

In the event of a return due to customer error, including cases where shipping was offered free of charge, the shipping costs incurred by RBM Performance will be deducted from the refund amount.

Customers outside the European Union may not cancel an order once shipped in order to request a refund.

Special-order parts (non-stock items) and used parts specifically dismantled for the customer are neither returned nor exchanged. Returned items that are incomplete, damaged, deteriorated or soiled by the customer will not be exchanged or refunded. If a refund is accepted, it will be processed within 30 days of receipt of the goods by our services; shipping costs are not refundable.

No return parcel will be accepted without prior contact with our after-sales service by email (sav@rbmperformance.com) to obtain authorization or a return number. After acceptance of the return conditions, the items must be received within 30 days. After this period, no refund or exchange will be granted.

Cancellation of a validated order not yet shipped must be made within 7 days of the order date by registered letter with acknowledgment of receipt, specifying the order number, sent to:

International Returns Outside the EU

If we accept the return of goods shipped to a customer outside the EU, the customer must declare the shipment to customs as a return of goods and not a commercial transaction. No parcel will be accepted if we are required to pay import taxes to receive it. Any such taxes paid by us will be charged to the customer or deducted from any possible refund.

Standard exchange part deposits not returned within 30 days of receipt of the order will not be accepted.


Warranty

RBM Performance provides a warranty on all new and used parts. Used parts are covered by a warranty of up to 6 months, with a minimum of 3 months depending on the part. New parts are covered by a warranty of 12 to 24 months depending on the product; some products may have longer warranty periods.

If a part shows an abnormal operating defect during the warranty period, it will be replaced or refunded if we are unable to supply the same product within three months. Prior contact with our after-sales service (sav@rbmperformance.com) is required to obtain warranty approval. Labor costs can never be claimed from RBM Performance.

To benefit from the warranty, the customer must retain the purchase invoice and provide a paid invoice for installation performed by a qualified professional registered with the national trade register.


Warranty Exclusions

The warranty does not cover:

  • replacement of consumables (bulbs, wipers, batteries, discs, filters, fuses, brake shoes, pads, etc.),

  • abnormal or improper use of the products,

  • defects and consequences resulting from use not intended for the product (e.g. competition),

  • defects and consequences due to external causes.


DI Cassette Warranty

To benefit from the DI cassette warranty, appropriate NGK spark plugs must be replaced at the same time as the DI cassette. Otherwise, the warranty will not apply.


Engine and Gearbox Warranty

Used parts warranty duration (whichever limit is reached first):

  • 3 months or 3,000 km

  • 4 months or 4,000 km

  • 5 months or 5,000 km

  • 6 months or 5,500 km

  • 1 year or 10,000 km

New or exchange-standard parts warranty duration (whichever limit is reached first):

  • 1 year or 16,000 km

  • 2 years or 30,000 km

Purchasing a used engine or gearbox involves risks which we strive to minimize through strict controls ensuring traceability, origin and quality.


Application of Warranty

At our discretion, the warranty may result in:

  • repair of the part (without extension of the warranty),

  • exchange of the part (without extension of the warranty),

  • refund of the product price upon return and after workshop inspection, only if replacement is impossible within three months.


Warranty Exclusions (Engines and Gearboxes)

The warranty does not apply in the event of:

  • normal wear related to mileage,

  • misuse, negligence or abusive use,

  • participation in motorsport competitions,

  • modification of the product (LPG installation, modified injectors, etc.),

  • engine displacement change without approval,

  • maintenance not in accordance with manufacturer recommendations.


Website and Social Media Posting

Users and customers agree not to post or transmit defamatory, threatening, obscene or harmful content that could infringe our rights or cause unjustified negative publicity. Any breach shall give rise to compensation for all resulting damages and legal costs incurred by ML AUTO HERITAGE SAS.


Payment Terms and Late Payment

Goods are payable in full upon order, unless exceptional terms are granted.
Late payment will result in interest equal to 1.5 times the legal interest rate (Law No. 92-1442 of December 31, 1992).


Acceptance – Governing Law – Jurisdiction

These General Terms and Conditions govern the contractual relationship between ML AUTO HERITAGE SAS and its customers. They may be modified at any time without prior notice.

They are governed by French law. Any dispute shall fall under the exclusive jurisdiction of the competent French courts.
